BY-LAWS OF THE OCEANA COUNTY REPUBLICAN COMMITTEE


ARTICLE I – NAME AND PURPOSE
Section 1. Name: This Committee shall be known as the Oceana County Republican Committee.


Section 2. Purpose: To perform all duties delegated to the Oceana County Republican Committee by law to seek out and encourage registered members of the Oceana County Republican Committee to become candidates for public office at every level who espouse the Republican Party principles and to actively assist them in winning elections and such other duties not prohibited by law as will benefit the general welfare of the Oceana County Republican Party; and to adopt by-laws by which the Oceana County Republican Committee shall be governed.


Section 3. Fiscal Year: The fiscal year shall begin January 1 and end December 31.


ARTICLE II – MEMBERSHIP
Section 1. Membership: In accordance with MSA #6.1599, MCL 168.599, the membership of the Oceana County Republican Executive Committee shall consist of Nominee Members and Delegate-Elected Members.


(a) Nominee Members: The Nominee Members shall be the persons nominated on the Republican ballot for each County office and each State Legislative office at the last primary election. When a new nomination is made for an office, the nominee for which (said office) is entitled to serve as a member of the Oceana County Republican Executive Committee, the new nominee shall replace the former nominee as a member of the Oceana County Republican Executive Committee. If a vacancy occurs in the Oceana County Republican Executive Committee in the position of a Nominee Member, following the election in which he was a candidate, the vacancy shall not be filled.   A Nominee Member in Good Standing will be a Registered Oceana Republican.


(b) Delegate-Elected Members: The Delegate –Elected Members shall be that number of persons equal to the number of candidates of the Republican Party nominated for election to County offices and State Legislative offices of Oceana County at the last two preceding fall primary elections, and shall be selected by the delegates to the Fall Convention of the Republican Party of Oceana County taking place in the even numbered years. There shall be at least one Delegate-Elected Member from each County Commissioner District. All Delegate-Elected Members must be registered voters who reside in Oceana County.  A Delegate-Elected Member in Good Standing will be a Registered Oceana Republican.


(c) Paid Members in Good Standing will have the ability to vote on all matters not relegated to Oceana County Executive Committee Leadership or By-Laws. Members in Good Standing must have dues paid no later than March 30th or within 30 days of written notification to the Oceana Republican Chair of interest in becoming a paid member.  A Paid Member in Good Standing will be a Registered Oceana Republican.


(d) Vacancy: If a vacancy occurs in the position of Delegate-Elected Member, the remaining Delegate-Elected Members shall fill that vacancy. If any Delegate-Elected Member misses three consecutive regular Oceana County Republican Executive Committee meetings without having been expressly excused by the Oceana County Republican Executive Committee Chairman, that member shall be notified and his or her seat may by resolution be declared vacant and may be filled by proper election at the next Oceana County Republican Executive Committee meeting.


Section 2. Members of the Oceana County Republican Executive Committee shall be qualified voters residing in Oceana County, except as provided by law.


Section 3. The Secretary shall deliver a current copy of these by-laws to all members of the Oceana County Republican Executive Committee and to the Chairman of the Republican State Committee following adoption or amendment of these by-laws.


Section 4.  The amount of annual dues will be established by the Oceana County Republican Executive Committee prior to the beginning of the next fiscal year. Oceana County Republican Committee annual dues will be due by the March 30th. New members will have 30 days after joining to pay their annual dues.
 
ARTICLE III – OFFICERS
Section 1. Officers: In accordance with MSA #116, MCLA 168.599, as amended or may be hereafter amended, the Oceana County Republican Executive Committee shall elect a Chairman, Vice Chairman of the opposite sex of the Chairman, where possible, and Secretary and Treasurer.


Section 2. Elections: The Oceana County Republican Committee Chairman, Vice Chairman, Secretary and Treasurer shall be elected by the Oceana County Republican Executive Committee  at the next meeting following the Fall County Convention held in even numbered years. The term of office shall be for two years. The term of office shall be for two years commencing January 1 of the odd numbered years.


Section 3. Vacancies: In the event a vacancy occurs in the office of Oceana County Republican Committee Chairman, the powers and duties of the Oceana County Republican Committee Chairman shall be assumed immediately and automatically by the Vice-Chairman until a new Oceana County Republican Committee Chairman is elected. All vacancies in other offices shall be filled by election of the Oceana County Republican Executive Committee for the remainder of the term.


Section 4. When an Officer Becomes a Candidate: Should any Oceana County Republican Committee Officer become a candidate for State or Federal elective office prior to a primary by announcing his or her candidacy or forming, or authorizing or acquiescing in the formation of an exploratory or draft committee on his or her behalf, that officer shall effective on the day of the announcement of such candidacy take a leave of absence from his or her office.


ARTICLE IV – DUTIES OF OFFICERS
Section 1. The officers of the Oceana County Republican Committee shall have such powers, duties and responsibilities as usually pertain to their offices except as modified by these by-laws and statutes to which the Oceana County Republican Committee is subject.


Section 2. County Chairman: The Oceana County Republican Committee Chairman shall preside at all meetings of the Oceana County Republican Committee, and shall appoint the Chairman and member of all special committees. The Chairman shall be an ex-officio member of all committees. In addition, the Oceana County Republican Committee Chairman shall be the Chief Executive Officer and primarily responsible for directing the day to day administration of the Oceana County Republican Party. The County Chair or another officer shall co-sign all checks issued.

The Oceana County Republican Committee Chairman shall submit reports to the Oceana County Republican Executive Committee as may be required by action of the Oceana County Republican Committee, to keep the Oceana County Republican Committee informed of Republican Party programs and activities; and shall assign to other officers such duties as may be necessary.


Section 3. Vice Chairman: The duties of the Vice Chairman shall be to preside at meeting of the Oceana County Republican Executive Committee in the absence of the County Chairman or at the request of the County Chairman, and to perform such other duties as directed by the County Chairman and the Oceana County Republican Executive Committee. In the event the County Chairman is unable to act, the powers and duties of the County Chairman shall devolve upon the Vice Chairman until such inability be removed or until the Oceana County Republican Committee Chairman shall again take up the duties of his/her office.


Section 4. Secretary: The duties of the Secretary shall be to perform all the duties normally incident to the office of Secretary and, in particular, to keep a permanent record of the minutes and attendance at all meetings; to make these records available for inspection and copying by any member of the Oceana County Republican Committee; and to see that all notices are duly give in accordance with the provisions of law and as required by these by-laws. The Secretary shall serve as Deputy Treasurer.


Section 5. Treasurer: The duties of the Treasurer shall be to have the care and custody of all monies paid to the Oceana County Republican Executive Committee of the Oceana County Republican Party, and deposit the same in the name of the Oceana County Republican County Committee in a bank designated by the Oceana County Republican Executive Committee, and he/she shall pay all bills charged to the Oceana County Republican County Committee as authorized by the Oceana County Republican County Committee. The Treasurer shall be responsible for the proper and timely filing of all financial reports required by law. In addition, the Treasurer shall keep an accurate account, in permanent records, of all receipts and disbursements of funds in his/her charge, using proper and orderly methods of keeping his/her records; and said records shall be open to inspection and examination by any member of the Oceana County Republican Executive Committee; and he/she shall render regular statements of the revenues and expenditures at each regular meeting. At the close of each calendar year, the Treasurer shall submit an annual statement and report as of December 31 of each year, and shall forward a copy of same to each member of the Oceana County Republican Executive Committee. Upon motion and majority vote at any special or regular meeting, the Oceana County Republican Executive Committee may order an outside audit of all books of account. The Treasurer shall turn over to his/her successor all funds, money, books, accounts, files, letters, records, papers and other property pertaining to or associated with the affairs of Treasurer upon leaving office.


ARTICLE V – SPECIAL COMMITTEES
Section 1. The Oceana County Republican Committee Chairman, with the approval of the Oceana County Republican Executive Committee, shall appoint special committees as deemed necessary. Special committees may consist of as few as one person. Committee Chairman will submit timely written reports to the Oceana County Republican Executive Committee concerning their programs and activities.


ARTICLE VI – MEETINGS
Section 1. The Oceana County Republican Executive Committee shall hold meetings at least four times each year or more frequently as required to carry out the duties and responsibilities of the Committee. The time and place of all meetings shall be determined by the Oceana County Republican Committee Chairman and a tentative schedule of the year’s meeting shall be announced by the Oceana County Republican Committee Chairman at the first meeting of the Oceana County Republican Committee in each calendar year.


Section 2. The Oceana County Republican Committee Chairman may call special meetings of the Oceana County Republican Committee and must call special meetings when requested by two of the officers or when requested by one-fifth of the members of the Oceana County Republican Executive Committee.


Section 3. Not less than 10 days prior to each regular meeting of the Oceana County Republican Committee and when possible, five days prior to special meetings, the Secretary shall forward to each member of the Oceana County Republican Executive Committee notice of the time and place; this will apply to regular meetings and Executive Committee meetings.


Section 4. Those members of the Oceana County Republican Executive Committee present and voting shall constitute a quorum at meetings of the Oceana County Republican Committee.


Section 5. Members in Good Standing of the Oceana County Republican Committee shall each have one vote and must be present in order to exercise that vote.


Section 6. Parliamentary Authority: Robert’s Rules of Order, Newly Revised, shall govern the conduct of the Oceana County Republican Committee, its members and the meetings of Special Committees in all cases to which they are applicable, and in which they are not inconsistent with the by-laws or the special rules of order of the Oceana County Republican Committee.


Section 7. Voting: All elected and nominee members in Good Standing shall be entitled to vote on all matters before the Oceana County Republican Committee.


Section 8. Endorsements:  Prior to any primary election, the Executive Committee may not endorse any announced candidate who has opposition from an active Republican Party participant. Individual members and officers of the Oceana County Republican Committee may personally endorse candidates, but not as official members or officers of the Oceana County Republican Committee.  County campaign efforts shall be limited to Republican nominated candidates or to non-partisan candidates endorsed by the Michigan State Republican Party.


ARTICLE VII – STATE CONVENTIONS
Section 1. The Committee Chairman or Vice Chairman shall serve as the Chairman of the Oceana County delegation to the Republican State Convention, unless otherwise directed by the County Convention.


Section 2. The County Convention Chairman of the Oceana County delegation to State Conventions shall be responsible for choosing which alternate shall fill vacancies in the Oceana County delegation, unless otherwise directed by the County Convention.


ARTICLE VIII – COUNTY CONVENTIONS
Section 1. After the nominee members and delegate elected members of the County Committee have taken office, at the next regular meeting of the Oceana County Republicans, officers will be elected. Between meetings of the County Committee, the Executive Committee shall have all of the powers and perform all of the duties of the County Committee, including the filling of vacancies in nominations as prescribed by law. The term of the service of a County Committee or officers shall continue for two years or until the selection of its successor.


ARTICLE IX – AMENDMENTS
Section 1. These by-laws may only be amended by a vote of two-thirds of the Oceana County Republican Executive Committee members in good standing present and voting. All proposed by-law amendments must be presented to each Executive Committee member at least thirty days before voting on the proposed amendment.

Section 2. The By-Laws may be amended by the Oceana County Republican Executive Committee if the following procedure is followed:

All proposed amendments shall be first submitted to the Oceana County Republican Executive Committee in writing.

Each member of the Oceana County Republican Executive Committee shall be notified in writing of the content of any proposed amendment at least 15 days before the date on which such proposed amendment is to be voted.

No amendment shall pass until it has receive a favorable two-thirds majority vote of the Oceana County Republican Executive Committee members in Good Standing present at the meeting, and such favorable vote must be made in person by such members and not by proxies other than proxies of state legislators.


ARTICLE X – DISSOLUTION

If this Oceana County Republican Committee should be dissolved for any reason, its assets would revert to the Michigan Republican State Committee.




The By-Laws of the Oceana County Republican Committee were revised and adopted by a majority of the Oceana County Republican Executive Committee on   April 13, 2019.
